Beta Terms of Use

These Beta Terms of Use (the "Terms") govern your access to and use of the beta version of The Board / Atla (the "Service"), operated by Tasha Tongpreecha LLC ("we," "us," "Company"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility — 18+ only. The Service is currently in a limited beta available only to individuals 18 or older. By using the Service you represent that you are at least 18. We do not knowingly permit anyone under 18 to register or submit information during this beta; if we learn of it, we will remove the account and data.
2. Beta nature. The Service is a pre-release beta provided for testing. It may be incomplete, contain bugs, change frequently, lose data, or become unavailable. We may modify, suspend, or discontinue it at any time without notice.
3. Accounts. You are responsible for the accuracy of your information, safeguarding your credentials, and all activity under your account.
4. Ownership of the Service. The Service and all of its components and contents — including the software, source code, object code, APIs, databases and database structure, design, "look and feel," user interface, user experience, features, functionality, workflows, methods, processes, text, graphics, images, logos, names, trademarks, trade dress, and all other intellectual property and proprietary know-how embodied in, displayed by, or related to the Service (collectively, the "Company IP") — are and remain the sole and exclusive property of the Company and its licensors, and are protected by copyright, trademark, trade secret, and other intellectual property and unfair-competition laws worldwide. Except for the limited license expressly granted in Section 5, no right, title, or interest in or to the Company IP is granted or transferred to you, whether by implication, estoppel, or otherwise, and all rights are expressly reserved by the Company.
5. Limited license. Subject to your continuous compliance with these Terms, the Company grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service solely for its intended purpose during the beta. This license confers no ownership and terminates automatically upon any breach of these Terms or upon termination of your access.
6. Restrictions; no competing use. You will not, and will not authorize, assist, encourage, or enable any third party to, directly or indirectly:
(a) copy, reproduce, republish, frame, mirror, modify, translate, or create derivative works of the Service or any Company IP;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to discover, derive, access, or recreate the source code, object code, architecture, structure, algorithms, data models, or underlying ideas, know-how, or trade secrets of the Service;
(c) access, scrape, crawl, spider, harvest, index, cache, or extract data, content, or media from the Service by any automated or manual means, or compile, build, or maintain any database or collection from it;
(d) use the Service, or any data, content, designs, layouts, screens, workflows, features, methods, know-how, or other information observed in, derived from, or obtained through the Service, to design, develop, train (including to train or fine-tune any machine-learning, artificial-intelligence, or similar model or system), market, launch, operate, or assist any product or service that competes with, replicates, or is substantially similar to the Service;
(e) benchmark the Service against, or use it to assist the development of, any competing or substantially similar product or service;
(f) remove, obscure, or alter any proprietary or attribution notices;
(g) resell, rent, lease, loan, sublicense, time-share, or otherwise commercialize or make the Service available to any third party; or
(h) use the Service in any unlawful manner, to infringe any third party's rights, to upload another person's information without authorization, or to submit profiles or media of anyone under 18 during this beta.
You acknowledge that the Service embodies valuable trade secrets and confidential information of the Company, that the restrictions in this Section are reasonable and necessary to protect the Company's legitimate business interests, and that any actual or threatened breach would cause the Company irreparable harm for which monetary damages would be inadequate. Accordingly, the Company is entitled to seek immediate injunctive and equitable relief, without the need to post bond, in addition to any other remedies available at law or in equity.
7. Confidentiality. Non-public aspects of the Service — including unreleased features, designs, screens, workflows, pricing, and technical or business information disclosed to or observed by you — are the Company's confidential information. You will not disclose them to any third party or use them except as necessary to use the Service in accordance with these Terms.
8. Your content. You retain ownership of content you submit ("User Content") and grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and process it solely to operate and improve the Service. You represent you have all rights necessary to do so.
9. Feedback. Any feedback or suggestions you give us may be used by us for any purpose, perpetually and without obligation or compensation, and you assign to us all rights in such feedback.
10. Disclaimers. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. We do not warrant it will be uninterrupted, secure, or error-free, or that data will not be lost.
11. Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/data. Our total liability will not exceed USD $100.
12. Indemnification. You will indemnify and hold us harmless from claims arising out of your User Content, your use of the Service, or your breach of these Terms (including Sections 6 and 7).
13. Termination. We may suspend or terminate access at any time, including for any breach of Sections 6 or 7. Sections 4–12 and 14–16 survive termination.
14. Changes. We may update these Terms; material changes will be posted with a new "Last updated" date. Continued use means acceptance.
15. Governing law; equitable relief. These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The state and federal courts located in New York shall have exclusive jurisdiction, except that the Company may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
